بعد الاطلاع على نص المادة 151 من الدستور ؛
وبعد موافقة مجلس الوزراء ؛
قرر :

ووفق على الخطابات المتبادلة بين حكومة جمهورية مصر العربية وحكومة اليابان بشأن القرض المقدم من خلال وكالة اليابان للتعاون الدولى (الجايكا) بمبلغ (44) مليار ين يابانى ، كقرض تنمية سياسات بغرض دعم برنامج حكومة جمهورية مصر العربية للتغطية الصحية الشاملة ، الموقعة فى القاهرة بتاريخ 22/2/2023 ، وذلك مع التحفظ بشرط التصديق .
صدر برئاسة الجمهورية فى 11 شوال سنة 1444 هــ
( الموافق أول مايو سنة 2023 ) .

صاحب السعادة،
أتشرف بالإحاطة بأننى قد تلقيت خطاب سعادتكم المؤرخ اليوم، والذى ينص على ما يلي :
« أتشرف بأن أعزز التفاهم التالى الذى تم التوصل إليه مؤخرًا بين ممثلى حكومة اليابان وحكومة جمهورية مصر العربية بشأن قرض يابانى مقدم بهدف تقوية علاقات الصداقة والتعاون الاقتصادى بين البلدين وتعزيز جهود التنمية فى جمهورية
مصر العربية:
۱ - تقدم وكالة اليابان للتعاون الدولى (ويشار إليها فيما بعد ب «جايكا») قرضا بالين الياباني إلى حكومة جمهورية مصر العربية تصل قيمته إلى أربعة وأربعون مليار ين ياباني (44.000.000.000 ين ياباني) (ويشار إليه فيما بعد بـــ «القرض») كقرض تنمية سياسات لبرنامج التغطية الصحية الشاملة، وذلك طبقا للقوانين والقواعد المعمول بها في اليابان، بغرض دعم برنامج حكومة جمهورية مصر العربية للتغطية الصحية الشاملة (ويشار إليه فيما بعد بـــ «البرنامج»).
۲ - (۱) يتاح القرض بمقتضى اتفاق قرض يتم إبرامه بين حكومة جمهورية مصر العربية وجايكا، وفى نطاق التفاهم الحالى سينظم اتفاق القرض المشار إليه أحكام وشروط القرض، وكذا إجراءات استخدامه، والذى سيتضمن - ضمن غيره -
القواعد التالية:
(أ) أن تكون فترة السداد أحد عشر (۱۱) عاما بعد فترة سماح أربعة
(4) أعوام؛
(ب) يكون سعر الفائدة واحد من مائة فى المائة (۰.۰۱%) سنويا؛

(ج)تكون فترة السحب خمسة (5) أعوام، وذلك بعد تاريخ دخول اتفاق القرض المذكور حيز النفاذ؛ و
(د) يتم فرض مصاريف مقدمة لإدارة القرض على إجمالى قيمة القرض بنسبة اثنان من عشرة فى المائة (۰.۲%)، ويتم رد القيمة المعادلة لواحد من عشرة فى المائة (0٫1٪) من اجمالى قيمة القرض، بشرط عدم مد فترة السحب المذكورة فى الفقرة الفرعية (ج) أعلاه وإتمام الصرف خلال فترة السحب المذكورة.
(۲) يمكن أن تمتد فترة السحب المذكورة فى الفقرة الفرعية (1) (ج) أعلاه بموافقة السلطات المختصة فى الحكومتين .
3 - (1) يتاح القرض لتغطية نفقات الموازنة التى تتم بواسطة السلطات المختصة بحكومة جمهورية مصر العربية، فيما عدا تلك المنتجات التى ينص عليها فى قائمة يتم الاتفاق المتبادل عليها بين السلطات المختصة فى كلتا الحكومتين.
(۲) يمكن تعديل القائمة المذكورة فى الفقرة الفرعية (1) أعلاه باتفاق متبادل بين السلطات المختصة فى كلتا الحكومتين .
4 - تتخذ حكومة جمهورية مصر العربية التدابير اللازمة لتوفير ما يعادل بالعملة المصرية لمبلغ المسحوبات من مبلغ القرض المحول إلى حساب ميزانية الدولة المفتوح باسم حكومة جمهورية مصر العربية على أن يدرج المبلغ المحول في ميزانية الدولة لحكومة جمهورية مصر العربية، بغرض تعزيز الاستقرار الاقتصادى وجهود التنمية فى جمهورية مصر العربية .
5 - تعفى حكومة جمهورية مصر العربية جايكا من كافة الرسوم المالية والضرائب المفروضة فى جمهورية مصر العربية المتعلقة والناتجة عن القرض أو أى من الحالتين، وكذلك الفائدة الناجمة عنه .
6 - تتخذ حكومة جمهورية مصر العربية الإجراءات اللازمة لضمان استخدام القرض على الوجه الصحيح وفقط من أجل نفقات الموازنة المذكورة فى الفقرة الفرعية (۱) من الفقرة (3) أعلاه، وعدم استخدامه فى أغراض عسكرية .
7 - تمد حكومة جمهورية مصر العربية - عند الطلب - حكومة اليابان
وجايكا بـــ :
(أ) معلومات وبيانات بشأن استخدام القرض وتقدم تنفيذ البرنامج؛ و
(ب) أية معلومات أخرى ذات صلة بالقرض والبرنامج.
٨ - تتشاور الحكومتان فيما بينهما فيما يختص بأى أمر قد ينشأ عن أو يتعلق بالتفاهم الحالي .
وإنه ليشرفنى أيضا أن أقترح أن تشكل هذه المذكرة ومذكرة سعادتكم بالرد تأكيداً نيابة عن حكومة جمهورية مصر العربية على التفاهم المذكور أعلاه، ويدخل حيز النفاذ من تاريخ تسلم حكومة اليابان للإخطار الكتابى من حكومة جمهورية مصر العربية الذي يفيد إتمام الإجراءات المحلية اللازمة لدخول هذا الاتفاق حيز النفاذ.
حرر هذا الخطاب باللغات اليابانية والعربية والإنجليزية، ولكل منها ذات الحجية، وعند أى اختلاف فى التفسير يعتد بالنص المحرر باللغة الإنجليزية» .
وإنه ليشرفنى أن أؤكد نيابة عن حكومة جمهورية مصر العربية التفاهم الوارد في مذكرة سعادتكم، وأوافق أن تشكل مذكرة سعادتكم وهذه المذكرة بالرد اتفاقًا بين الحكومتين يصبح سارى المفعول من تاريخ تسلم حكومة اليابان للإخطار الكتابى من حكومة جمهورية مصر العربية الذى يفيد إتمام الإجراءات المحلية اللازمة لدخول هذا الاتفاق حيز النفاذ .
حرر هذا الخطاب باللغات العربية واليابانية والإنجليزية ولكل منها ذات الحجية وعند أى اختلاف فى التفسير يعتد بالنص المحرر باللغة الإنجليزية.

Excellency,
I have the honour to acknowledge the receipt of Your Excellency's Note of today's date, which reads as follows:
«I have the honour to confirm the following understanding recently reached be-tween the representatives of the Government of Japan and of the Government of the Arab Republic of Egypt concerning a Japanese loan to be extended with a view to strengthening the friendly relations and economic cooperation between the two coun-tries and promoting the development efforts of the Arab Republic of Egypt:
1. A loan in Japanese yen up to the amount of forty -four billion yen (¥44,000,000,000) (hereinafter referred to as «the Loan») will be extended, as the Development Policy Loan for Universal Health Coverage, in accordance with the rele-vant laws and regulations of Japan, to the Government of the Arab Republic of Egypt by the Japan International Cooperation Agency (hereinafter referred to as «JICA») for the purpose of supporting the Government of the Arab Republic of Egypt in its pro-gram for universal health coverage (hereinafter referred to as «the Program»).
2. (1) The Loan will be made available by a loan agreement to be concluded be-tween the Government of the Arab Republic of Egypt and JICA. The terms and condi-tions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement, within the scope of the present understanding, which will contain, inter alia, the following principles:
(a) The repayment period will be eleven (11) years after the grace period of four (4) years;
(b) The rate of interest will be nought point nought one per cent (0.01%) per an-num; and
(c) The disbursement period will be five (5) years after the date of coming into force of the said loan agreement.

(d) A front -end fee will be imposed on the amount of the Loan at the rate of nought point two per cent (0.2%). The amount equivalent to nought point one per cent (0.1%) of the amount of the Loan will be repaid, provided that the disbursement period mentioned in sub -paragraph (c) above is not extended and that the disbursement is completed within the said disbursement period.
(2) The disbursement period mentioned in sub -paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.
3. (1) The Loan will be made available to cover budget expenditures to be made by the competent authorities of the Government of the Arab Republic of Egypt, except those for such products as will be enumerated in a list to be mutually agreed upon be-tween the authorities concerned of the two Governments.
(2) The list mentioned in sub -paragraph (1) above may be modified by an agree-ment between the authorities concerned of the two Governments.
4. The Government of the Arab Republic of Egypt shall take measures to have the equivalent in Egyptian currency of the amount of yen disbursements of the Loan transferred to the state budget account opened in the name of the Government of the Arab Republic of Egypt. The amount thus transferred shall be included in the state budget of the Government of the Arab Republic of Egypt, and shall be used to promote the economic stabilization and development efforts of the Arab Republic of Egypt.
5. The Government of the Arab Republic of Egypt shall exempt JICA from all fis-cal levies and taxes imposed in the Arab Republic of Egypt on and/or in connection with the Loan as well as interest accruing therefrom.
6. The Government of the Arab Republic of Egypt shall take necessary measures to ensure that the Loan is used properly and exclusively for the budget expenditures mentioned in sub -paragraph (1) of paragraph 3 above, and is not used for military purposes.
7. The Government of the Arab Republic of Egypt shall, upon request, furnish the Government of Japan and JICA with:
(a) information and data concerning the use of the Loan and the progress of the implementation of the Program; and
(b) any other information related to the Loan and the Program.
8 . The two Governments shall consult with each other with respect to any matter that may arise from or in connection with the present understanding.
I have further the honour to propose that this Note and Your Excellency's Note in reply confirming on behalf of the Government of the Arab Republic of Egypt the foregoing understanding shall enter into force on the date of receipt by the Govern-ment of Japan of the written notification from the Government of the Arab Republic of Egypt of the completion of necessary domestic procedures for the entry into force of such agreement.
This Note is written in the Japanese, Arabic and English languages, each text be-ing equally authentic, and in case of any divergence in interpretation, the English text shall prevail.»
I have further the honor to confirm on behalf of the Government of the Arab Re-public of Egypt the foregoing understanding and to agree that Your Excellency's Note and this Note in reply shall constitute an agreement between the two Governments, which shall enter into force on the date of receipt by the Government of Japan of the written notification from the Government of the Arab Republic of Egypt of the com-pletion of necessary domestic procedures for the entry into force of such agreement.
This Note is written in the Arabic, Japanese and English languages, each text be-ing equally authentic, and in case of any divergence in interpretation, the English text shall prevail.

Record of Discussions
In connection with the Exchange of Notes between the Government of Japan and the Government of the Arab Republic of Egypt, dated February 22, 2023 (hereinafter referred to as Mthe Exchange of Notes'7), concerning a Japanese loan to be extended with a view to strengthening the friendly relations and economic cooperation between the two countries and promoting the development efforts of the Arab Republic of Egypt (hereinafter referred to as «the Loan'7), the representatives of the Japanese Delegation and of the Egyptian Delegation wish to record the following:
1. With regard to paragraph 8 of the Exchange of Notes:
(a) the representatives of the Japanese Delegation and of the Egyptian Delegation share the recognition that all necessary measures will be taken to prevent any offer, gift or payment, consideration or benefit which would be construed as a corrupt practice in the Arab Republic of Egypt from being made as an in-ducement to or reward for the award of the contracts for purchase of products and/or services under the Loan; and
(b) the representative of the Japanese Delegation stated that the Government of the Arab Republic of Egypt will take all necessary measures to enable and fa-cilitate ex -post procurement audit to be carried out by independent auditors which the Japan International Cooperation Agency (hereinafter referred to as «JICA77) will designate and to be paid at JICA' s expense, in order to ensure the fairness and competitiveness of the procurement process, in cases where JICA considers such audit to be necessary.
2. With regard to paragraph 9 of the Exchange of Notes, the representatives of the Japanese Delegation and of the Egyptian Delegation stated that the Government of Ja-pan and the Government of the Arab Republic of Egypt share the recognition that:
(a) other information mentioned in sub -paragraph (b) of the said paragraph in-cludes information necessary on anti -corruption efforts related to the Loan and the Program mentioned in paragraph 1 of the Exchange of Notes; and
(b) the Government of the Arab Republic of Egypt will ensure appropriate protec-tion of sources of such information and data.
3. The representative of the Egyptian Delegation stated that the Egyptian Delega-tion had no objection to the statement by the representative of the Japanese Delegation mentioned in paragraph 1.
